Terms & Conditions of Sale – Moon Bright Resources

1. General
These Terms and Conditions (“Terms”) apply to all sales of products (“Products”) by Moon Bright Resources (“Company”, “we”, “us”, “our”) to any buyer (“Customer”, “you”). By placing an order, you accept these Terms without modification.

2. Orders & Acceptance
All orders are subject to our written acceptance. We reserve the right to refuse any order. Order confirmation sent by us constitutes acceptance.

3. Pricing
All prices are quoted in USD unless otherwise stated. Prices are exclusive of taxes, duties, shipping, and insurance. We reserve the right to change prices without prior notice.

4. Payment Terms
Payment terms are as stated on the invoice (e.g., 100% advance, Letter of Credit, or Net 30 days for approved accounts). Late payments may incur interest at 1.5% per month or the maximum allowed by law.

5. Product Specifications
We supply industrial-grade chemicals. Product specifications (purity, concentration, etc.) are as stated on our website, quote, or Certificate of Analysis (COA). Minor variations within industry standards do not constitute a defect.

6. Shipping & Delivery

  • Delivery timelines are estimates, not guarantees.

  • Title and risk of loss pass to the Customer upon delivery to the carrier (Ex-Works or FOB Malaysia, unless otherwise agreed).

  • Shipping delays caused by customs, weather, or carrier issues are not our responsibility.

7. Inspection & Claims
You must inspect all Products upon arrival. Claims for shortages or visible damage must be submitted in writing within 7 days of delivery. Claims for non-conforming quality must be submitted within 14 days with supporting evidence (e.g., lab analysis). Failure to do so waives your right to claim.

8. Returns & Refunds
Due to the nature of industrial chemicals, we do not accept returns except for verified non-conformity. In such cases, we will replace or refund at our discretion. No refunds for products that have been stored improperly, mixed, or used.

9. Limitation of Liability
To the maximum extent permitted by law:

  • Our total liability shall not exceed the invoice value of the Products.

  • We are not liable for indirect, special, or consequential damages (e.g., lost profits, production downtime).

  • We provide no implied warranties of merchantability or fitness for a particular purpose.

10. Compliance & Safety
Customer agrees to:

  • Comply with all applicable laws, including hazardous material handling, storage, and disposal.

  • Obtain all necessary import/export permits.

  • Not use Products for any illegal or prohibited purpose.

11. Export Control
Some Products may be subject to export controls. Customer is solely responsible for obtaining any required export licenses.

12. Force Majeure
We are not liable for delays or non-performance caused by events beyond our reasonable control (e.g., war, natural disaster, pandemic, supplier failure, transport disruption).

13. Governing Law
These Terms shall be governed by the laws of Malaysia. Any dispute shall be resolved exclusively in the courts of  Malaysia.

14. Changes
We may update these Terms at any time. Changes apply to orders placed after the effective date.
