General<\/span><\/strong><br \/><span class=\"\">These Terms and Conditions (&#8220;Terms&#8221;) apply to all sales of products (&#8220;Products&#8221;) by <a href=\"https:\/\/www.moonbrightresources.com\/es\/\">Moon Bright Resource<\/a>s (&#8220;Company&#8221;, &#8220;we&#8221;, &#8220;us&#8221;, &#8220;our&#8221;) to any buyer (&#8220;Customer&#8221;, &#8220;you&#8221;). By placing an order, you accept these Terms without modification.<\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">2. Orders &amp; Acceptance<\/span><\/strong><br \/><span class=\"\">All orders are subject to our written acceptance. We reserve the right to refuse any order. <a href=\"https:\/\/www.moonbrightresources.com\/es\/shop\/\">Order confirmation sent by us constitutes acceptance.<\/a><\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">3. Pricing<\/span><\/strong><br \/><span class=\"\">All prices are quoted in USD unless otherwise stated. Prices are exclusive of taxes, duties, shipping, and insurance. We reserve the right to change prices without prior notice.<\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">4. Payment Terms<\/span><\/strong><br \/><span class=\"\">Payment terms are as stated on the invoice (e.g., 100% advance, Letter of Credit, or Net 30 days for approved accounts). Late payments may incur interest at 1.5% per month or the maximum allowed by law.<\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">5. Product Specifications<\/span><\/strong><br \/><span class=\"\">We supply industrial-grade chemicals. Product specifications (purity, concentration, etc.) are as stated on our website, quote, or Certificate of Analysis (COA). Minor variations within industry standards do not constitute a defect.<\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">6. Shipping &amp; Delivery<\/span><\/strong><\/p>\n<ul>\n<li>\n<p class=\"ds-markdown-paragraph\"><span class=\"\">Delivery timelines are estimates, not guarantees.<\/span><\/p>\n<\/li>\n<li>\n<p class=\"ds-markdown-paragraph\"><span class=\"\">Title and risk of loss pass to the Customer upon delivery to the carrier (Ex-Works or FOB Malaysia, unless otherwise agreed).<\/span><\/p>\n<\/li>\n<li>\n<p class=\"ds-markdown-paragraph\"><span class=\"\">Shipping delays caused by customs, weather, or carrier issues are not our responsibility.<\/span><\/p>\n<\/li>\n<\/ul>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">7. Inspection &amp; Claims<\/span><\/strong><br \/><span class=\"\">You must inspect all Products upon arrival. Claims for shortages or visible damage must be submitted in writing within <\/span><span class=\"\">7 days<\/span><span class=\"\"> of delivery. Claims for non-conforming quality must be submitted within <\/span><span class=\"\">14 days<\/span><span class=\"\"> with supporting evidence (e.g., lab analysis). Failure to do so waives your right to claim.<\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">8. Returns &amp; Refunds<\/span><\/strong><br \/><span class=\"\">Due to the nature of industrial chemicals, we do not accept returns except for verified non-conformity. In such cases, we will replace or refund at our discretion. No refunds for products that have been stored improperly, mixed, or used.<\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">9. Limitation of Liability<\/span><\/strong><br \/><span class=\"\">To the maximum extent permitted by law:<\/span><\/p>\n<ul>\n<li>\n<p class=\"ds-markdown-paragraph\"><span class=\"\">Our total liability shall not exceed the invoice value of the Products.<\/span><\/p>\n<\/li>\n<li>\n<p class=\"ds-markdown-paragraph\"><span class=\"\">We are not liable for indirect, special, or consequential damages (e.g., lost profits, production downtime).<\/span><\/p>\n<\/li>\n<li>\n<p class=\"ds-markdown-paragraph\"><span class=\"\">We provide no implied warranties of merchantability or fitness for a particular purpose.<\/span><\/p>\n<\/li>\n<\/ul>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">10. Compliance &amp; Safety<\/span><\/strong><br \/><span class=\"\">Customer agrees to:<\/span><\/p>\n<ul>\n<li>\n<p class=\"ds-markdown-paragraph\"><span class=\"\">Comply with all applicable laws, including hazardous material handling, storage, and disposal.<\/span><\/p>\n<\/li>\n<li>\n<p class=\"ds-markdown-paragraph\"><span class=\"\">Obtain all necessary import\/export permits.<\/span><\/p>\n<\/li>\n<li>\n<p class=\"ds-markdown-paragraph\"><span class=\"\">Not use Products for any illegal or prohibited purpose.<\/span><\/p>\n<\/li>\n<\/ul>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">11. Export Control<\/span><\/strong><br \/><span class=\"\">Some Products may be subject to export controls. Customer is solely responsible for obtaining any required export licenses.<\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">12. Force Majeure<\/span><\/strong><br \/><span class=\"\">We are not liable for delays or non-performance caused by events beyond our reasonable control (e.g., war, natural disaster, pandemic, supplier failure, transport disruption).<\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">13. Governing Law<\/span><\/strong><br \/><span class=\"\">These Terms shall be governed by the laws of <\/span><span class=\"\">Malaysia<\/span><span class=\"\">. Any dispute shall be resolved exclusively in the courts of <\/span><span class=\"\">\u00a0Malaysia<\/span><span class=\"\">.<\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">14. Changes<\/span><\/strong><br \/><span class=\"\">We may update these Terms at any time. Changes apply to orders placed after the effective date.<\/span><\/p>\n<p class=\"ds-markdown-paragraph\"><strong><span class=\"\">15.
